These Terms and Conditions apply to the exclusion of all other terms referenced in any purchase order, acknowledgment, confirmation, or other documentation issued by either party. A2M P&C reserves the right to amend these Terms and Conditions at any time. The most current version is available on our website.
A2M P&C is a business-to-business supplier. Our catalog and product brochures are intended for use by business customers only—not consumers. By ordering, the Customer represents and warrants that the Products are being acquired on behalf of a business.
Orders are billed in United States Dollars at the prices set forth in the applicable quotation. Prices may be increased if A2M P&C’s costs or other factors beyond our control change. If the Customer does not purchase the quantity required for discount pricing, the non-discounted price and/or a cancellation fee will apply. Prices do not include applicable federal, state, or local taxes unless a valid tax exemption certificate is provided.
Payment is due in cash with order. If A2M P&C reasonably believes that the Customer's ability to pay is impaired, we may cancel any order or remaining balance, with the Customer remaining liable for any Products already shipped. Payments received may be applied against any outstanding obligation without discharging the remaining liability. Overdue amounts will bear interest at an annual rate of 18% (or the maximum rate permitted by law) and the Customer is responsible for all collection costs and attorneys’ fees. Additionally, the Customer waives certain rights (including notice and protest) to allow A2M P&C to secure judgments for unpaid amounts.
All shipments are FOB from our facility (or a designated carrier/freight forwarder). The Customer is responsible for all shipment charges in addition to the purchase price. Carrier selection and delivery routes are determined by A2M P&C unless otherwise specified. Delivery dates are estimates only, and delivery within 30 days of the requested date is considered timely. We may deliver orders in installments; delay in one installment does not entitle the Customer to cancel others. Title remains with A2M P&C until full payment is received, and risk passes to the Customer upon delivery to the carrier.
A2M P&C may cancel accepted orders by notifying the Customer within 60 days of order receipt. Customers may cancel orders for standard Products scheduled for shipment more than 60 days from notification, subject to our approval and any applicable cancellation fee. Orders cannot be canceled or rescheduled after delivery to the carrier. Non-standard Products (including special orders, non-catalog items, custom or value-added products) are non-cancellable.
Returns are accepted within 30 days of delivery only with prior authorization from A2M P&C via a Return Material Authorization (RMA) request. Please allow 24 hours for processing. Approved returns must have the issued RMA number clearly marked on each carton, be in the original shipping carton with all packaging materials, and be in re-sellable condition. Return freight charges are the Customer’s responsibility. Products returned due to Customer error may incur a restocking fee. A2M P&C is not responsible for products lost in transit during return.
Products are sold with the warranties provided by the manufacturer. A2M P&C does not extend additional warranties for value-added services or bundled products. Copies of manufacturers’ warranties are available upon request. The Customer is responsible for proper product selection, and no warranty applies if Products are altered or modified after delivery. If a manufacturer’s warranty issue is identified, remedies may include a refund, repair, or replacement, provided that the Product is returned with acceptable evidence of purchase within 20 days of delivery and transportation charges are prepaid. No warranty applies if the Product has been misused, neglected, or modified.
A2M P&C complies with all U.S. Export Regulations and Laws. We will not sell or ship to embargoed countries (e.g., Cuba, Iran, North Korea, Syria) or to individuals or organizations designated by U.S. authorities. Re-export, brokering, or transshipment to prohibited parties is strictly forbidden.
All international orders are exported from the U.S. in compliance with EAR or ITAR, as applicable, to the specific product being ordered. The ability to export certain products may be subject to U.S. Government approval, which cannot be guaranteed. All taxes, duties, insurance, shipping charges, and other international fees are the Customer’s responsibility. Payment terms for export orders are cash, credit cards, or wire transfer. Qualified customers may be eligible for credit terms—please inquire when placing an order.
A2M P&C is solely a distributor of products manufactured by other companies. Our guarantees and warranties are limited to those provided by the manufacturer. All Products are sold "AS IS," and A2M P&C disclaims any implied warranties of merchantability, fitness, or suitability. We are not responsible for any direct, consequential, or indirect damages resulting from the use of our Products.
